Terms of Service

Effective August 22, 2026 · Version 2026-08-22

These Terms of Service ("Terms") are a binding agreement between you and Taketwo ("VINC", "we"), operator of the VINC generative film studio at this site and vinc.studio (the "Service"). By creating an account, ticking the sign-up box, or using the Service, you agree to these Terms, the Acceptable Use Policy (part of these Terms), the Cancellation & Refund Policy, and acknowledge the Privacy Policy. If you don't agree, don't use the Service.

1. Who may use VINC

  • You must be at least 18 years old. VINC is not directed to children, and we do not knowingly allow anyone under 18 to hold an account. If we learn an account belongs to a minor, we will close it and delete its data.
  • You must provide accurate account information and keep your credentials secure. You are responsible for activity under your account.
  • During early access, accounts may be placed on a waitlist and activated gradually. We may decline or revoke access at our discretion during this period.

2. The Service

VINC turns your prompts and reference material into AI-generated films — images, video, and audio produced by third-party and first-party machine-learning models orchestrated by our pipeline. The Service is evolving: features may change, models may be swapped, and outputs for the same prompt will vary. We may set and change usage limits, queue priorities, and technical restrictions to keep the Service stable and safe.

3. Credits and payment

  • Paid features consume prepaid render credits. Pricing is shown before purchase; taxes may apply based on your location.
  • Credits are a limited, non-transferable license to use the Service — not money, property, or an investment. Promotional credits may expire as stated when granted.
  • Refunds and cancellations are governed by the Cancellation & Refund Policy, including EU/UK withdrawal rights and failed-render re-credits.

4. Your content

  • Inputs (prompts, scripts, uploads) remain yours. You grant us a worldwide, non-exclusive license to host, process, and transmit them as needed to operate the Service — including sending them to the model providers that perform the generation. We do not use your content to train AI models, and this license does not permit it.
  • Outputs: as between you and us, we assign to you all our right, title, and interest in the outputs your renders produce, to the extent permitted by law. Whether AI-generated content is copyrightable at all varies by jurisdiction (purely AI-generated works may have no copyright protection in the US and elsewhere) — we cannot and do not guarantee enforceable rights.
  • You warrant that your inputs, and your use of outputs, do not infringe anyone's rights — including copyright, trademark, privacy, publicity, and personality rights — and comply with the Acceptable Use Policy.
  • Similar or identical outputs may be generated for other users from similar prompts; nothing here restricts that.
  • We may show your published content within the Service. We will not use your private projects for marketing without your permission.

5. AI transparency

Content rendered by VINC is AI-generated. Where technically feasible we embed provenance metadata identifying it as such, and you must not remove or falsify those signals. When you publish content made with VINC you act as its deployer under the EU AI Act and equivalent laws: disclosure obligations for realistic synthetic media fall on you — see AI Transparency and the Acceptable Use Policy. Outputs may be inaccurate, may unintentionally resemble real people, places, or works, and must not be relied on as factual.

6. Takedowns, copyright, and grievances

  • Copyright complaints: email support@vinc.ai with the work, the allegedly infringing material, your contact details, a good-faith statement, and your signature (a DMCA-compliant notice for US works — full notice and counter-notice process on the DMCA page). We remove or disable access to material a valid notice identifies and operate a repeat-infringer policy: accounts that repeatedly infringe are terminated.
  • Non-consensual intimate imagery has its own expedited removal path — within 2 hours where India's IT Rules 2021 apply, and within 48 hours everywhere under the US TAKE IT DOWN Act: Report intimate imagery.
  • All other complaints — including under India's IT Rules 2021 — go to our Grievance Officer, with statutory acknowledgement and resolution timelines.
  • We may remove content or suspend accounts that violate these Terms or the law, with notice where the law requires it, and will explain the reason and how to contest it except where prohibited.

Content moderation (how it works)

Prompts and outputs pass through automated safety filters (including NSFW and abuse classifiers run by us and by the underlying model providers) and quality-control checks. These can refuse a render or flag content for review; consequential decisions — takedowns, suspensions — involve human review. Filters err in both directions: if a lawful render was wrongly refused or removed, appeal through the grievance process and a person will look at it. When we restrict your content or account we provide a statement of reasons and how to contest it, as the EU Digital Services Act requires.

7. Intellectual property of the Service

The Service — software, interfaces, design, and our marks — is ours and our licensors'. No rights are granted except as stated. Don't copy, resell, or build a competing service from it, and don't reverse-engineer except where the law grants you that right regardless of contract.

8. Disclaimers

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE". TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT OUTPUTS WILL BE ACCURATE, ORIGINAL, OR FIT FOR YOUR PURPOSE. Some jurisdictions (including EU/UK consumer law and Indian consumer law) do not allow certain exclusions — nothing here removes rights that law gives you and that cannot be waived.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOST PROFITS, DATA, OR GOODWILL; AND OUR TOTAL LIABILITY FOR ALL CLAIMS IN ANY 12-MONTH PERIOD IS LIMITED TO THE GREATER OF THE AMOUNTS YOU PAID US IN THAT PERIOD OR USD $100. This does not limit liability that cannot be limited by law — including for death or personal injury caused by negligence, fraud, or willful misconduct — and does not affect non-waivable consumer rights.

10. Indemnity

If you are a business user, you will indemnify us against claims arising from your content, your use of outputs, or your breach of these Terms. Consumers are only liable as general law provides.

11. Termination

You may close your account at any time in the studio or by emailing support@vinc.ai. We may suspend or terminate accounts for breach, unlawful use, non-payment, or extended inactivity, with notice where required. Sections that by nature survive (content licenses already exercised, disclaimers, liability limits, disputes) survive termination. Data deletion on termination is described in the Privacy Policy.

12. Changes to the Service or Terms

We may update these Terms. For material changes we will give at least 15 days' notice by email or in-product before the new terms take effect, and the version and date at the top will change. Continuing to use the Service after the effective date is acceptance; if you don't agree, stop using the Service and we'll refund unused credits on request.

13. Governing law and disputes

  • These Terms are governed by the laws of India, and disputes are subject to the courts at Bengaluru, Karnataka, India — except that if you are a consumer in the EU/EEA, UK, or US, you keep the protection of the mandatory consumer laws, and the courts, of the place where you live.
  • Before formal proceedings, contact us — most disputes resolve at support@vinc.ai or via the grievance process within days.
  • EU users: the European Commission's ODR platform has been discontinued; your local consumer-protection authority and courts remain available. India users: see the Grievance Redressal page for the appellate path.

14. Miscellany

These Terms (with the policies they incorporate) are the entire agreement. If a clause is unenforceable, the rest stands. We may assign this agreement in a merger or asset sale; you may not assign it without our consent. Notices to you go to your account email; notices to us go to support@vinc.ai.
